ATI Wonder VE + ATI AIW 7500

Here's a pickle:

I cannot get xawtv (v3.78) to work in 'overlay' mode using my
ATI Wonder VE as the capture card with my AIW7500 as the
display.  I don't want to use the video capture on my AIW7500
at all for now. 

Using the 'framegrabber' interface works but I want 'overlay'
to work & when I switch to 'overlay' mode the xawtv window is
pure black.

Am _not_ using GATOS driver 'cuz they make my AIW the capture
card instead of my VE && they don't fully support v4l - so am
just using stock kernel support - 2.4.20

Initially v4l-conf cannot determine my framebuffer address so
I supply it manually as probed from my X log file (0xd0000000 or 
something like that).
Doing an 'xawtv -hwscan' lists:

port 59-59
    type : Xvideo, image scaler
    name : ATI Radeon Video Overlay

/dev/v4l/video0: OK
    type : v4l
    name : BT878(MICO PCTV) (I had to set 'card=1' to the bttv module to
                                get it to work)
    flags : overlay capture tuner

'glxinfo' shows direct rendering: Yes if that matters.
It's XFree86 4.2.1 
Oh my X server has NO DGA support - do I need that?

Other then the overlay thing everything else is rockin'.
agpgart is loaded as a module w/'try_agp_unsupported=1' - my AGP
controller is a via8235/8233 on a KT400 motherboard.
Using ALSA sound drivers no problems - I can hear sound from the TV
card.
glxgears comes in a touch over 1000 FPS so that seems okay.

WHY WON'T OVERLAY WORK????????
